Amplifon signs €1.35 billion senior loan to support the acquisition of GN Hearing
Amplifon (EXM; Bloomberg/Reuters ticker: AMP:IM/AMPF.MI), global leader in hearing solutions and services, announces that it has signed a €1.35 billion senior loan in connection with the financing of the proposed acquisition of GN Hearing.
The senior loan has been entered into with a pool of leading financial institutions, including:
- Goldman Sachs Bank Europe SE and J.P. Morgan SE, acting as Global Coordinators
- Goldman Sachs Bank Europe SE, J.P. Morgan SE, Banco BPM S.p.A., BNP Paribas (Italian Branch), CaixaBank S.A. – Italian Branch, Cassa Depositi e Prestiti S.p.A., Crédit Agricole Corporate and Investment Bank (Milan Branch), Deutsche Bank Luxembourg S.A., HSBC Continental Europe, ING Bank N.V. (Milan Branch), Intesa Sanpaolo S.p.A. (Divisione IMI CIB),, Mediobanca – Banca di Credito Finanziario S.p.A. and UniCredit S.p.A., acting as Mandated Lead Arrangers and Bookrunners
- and UniCredit S.p.A., acting as Facility Agent
The financing, together with the proceeds from the equity raise completed on May 22nd, is aimed at funding the cash component of the acquisition, including transaction costs.
The senior loan has a maximum duration of 24 months, including an option for extension, and is subject to terms and conditions in line with market standards for comparable transactions.
In connection with the transaction, White & Case acted as legal advisor to Amplifon, while Clifford Chance advised the pool of banks.
As already disclosed on March 16th, 2026, the closing of the acquisition of GN Hearing is expected by the end of 2026, subject to customary conditions precedent and regulatory approvals.
