Announcement of change to voting rights
Amplifon S.p.A. (EXM; Bloomberg ticker: AMP:IM), global leader in hearing solutions and services, announces that there has been changes to the voting rights according to art. 13 of the Articles of Association.
On May 31st, 2024, the Company received communication requesting the cancellation of n. 60,000 ordinary shares from the specific register, which led to a change in total amount of voting rights from 322,136,653 to 322,076,653.
The situation as of today is, therefore, summarized below:
- Amplifon S.p.A. share capital equals € 4,527,772.40 and consists of n. 226,388,620 ordinary shares with a nominal value of € 0.02 per share; and
- the number of ordinary shares with accrued increased voting rights is n. 95,688,033 out of a total of n. 226,388,620 ordinary shares.
Pursuant to subsection 8 of art 127-quinquies of the TUF, the increase of voting rights is calculated to determine the quora to convene the Shareholders’ Meeting as well as to pass resolutions.
It should also be noted that there are currently further n. 50 shares in the increased voting rights register which are still being vested.
Finally, as of today the Company holds 216,899 treasury ordinary shares with suspended voting rights.
